The Board of Directors of the Company (the “Board”) ensures good standards of corporate governance are practised throughout the Company and its subsidiaries (the “Group”) as a fundamental part of its responsibilities to protect and enhance shareholder value as well as to enhance corporate performance and accountability.

Whistle-Blowing Policy

A Whistle-Blowing Policy is in place to provide an avenue through which employees, vendors, customers and other stakeholders may report or communicate, in good faith and in confidence, any concerns relating to financial and other matters, so that independent investigation of such matters can be conducted and appropriate follow-up action can be taken. The Audit and Risk Management Committee (“ARMC”) Chairman is in charge of managing this specific area.

In our pursuit of good corporate governance, the avenue to whistle-blow is published on our corporate website. The Company encourages its officers, employees, vendors/contractors, consultants, suppliers and/or any other parties with whom the Group has a relationship, to provide information that evidences:-

1. Misconduct relating to financial reporting, accounting or other financial matters;
2. Corruption, misappropriation or blackmail;
3. Health and safety violations,
4. Unethical, fraudulent or wasteful practices;
5. Significant breaches of the Group’s policies or internal controls; and
6. Concealment of any of the above.

A dedicated communication channel is established and whistle-blowers may submit the written report to the ARMC by sending an email to whistleblowing@bukitsembawang.sg.
